Terms of Service

These Terms of Service ("Terms") govern access to and use of the ApproveBudget service at approvebudget.com (the "Service"), operated by Integrated Technology Solutions, LLC ("we," "us"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
1. The Service
ApproveBudget is a web application for proposing, approving, certifying, and amending organizational budgets through a structured approval workflow. Features may change over time as we improve the Service.
2. Accounts and access
Access is provisioned by each organization. Users are responsible for keeping their credentials secure and for all activity under their account. Where single sign-on is enabled, access is governed by the organization's identity provider. Notify your organization administrator promptly of any unauthorized use.
3. Acceptable use
You agree not to: misuse the Service or interfere with its operation or security; attempt to access data belonging to another organization or to a user you are not authorized to access; upload unlawful, infringing, or malicious content; or use the Service in violation of applicable law. We may suspend access to protect the Service or its users.
4. Customer data and ownership
As between the parties, the organization owns the data it submits to the Service ("Customer Data"). You grant us the limited rights necessary to host, process, and display Customer Data solely to provide and support the Service. We do not sell Customer Data. Our handling of personal information is described in the Privacy Policy.
5. Availability and changes
We aim to keep the Service available and reliable, but it is provided without a specific uptime commitment unless separately agreed in a written order or agreement. We may modify, add, or remove features, and we may perform maintenance that temporarily affects availability.
6. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ApproveBudget supports budget approval workflows; it is not accounting, financial, or legal advice, and the organization remains responsible for its budget decisions and records.
7. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR, WHERE NO FEES WERE PAID, A REASONABLE AMOUNT AS DETERMINED BY APPLICABLE LAW.
8. Term and termination
These Terms apply while you use the Service. We may suspend or terminate access for violation of these Terms or to protect the Service. Upon termination, the organization may request export of its Customer Data as described in the Privacy Policy, subject to legal and contractual retention obligations.
9. Governing law
These Terms are governed by the laws of the State of Mississippi, United States, without regard to its conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Mississippi, unless otherwise required by law.
10. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance.
